PROXY ADVISOR REFORM:
LEGISLATIVE EFFORTS

Wednesday, November 8
2:30 pm ET / 11:30 PT
A CONVERSATION WITH REP. SEAN DUFFY (R-WI) AND OTHER EXPERTS
Join Nasdaq, the Chamber and NIRI for a discussion on H.R. 4015, Corporate Governance Reform and Transparency Act, which was recently reintroduced by Congressman Sean Duffy. A senior member of the House Financial Services Committee, Congressman Duffy serves as Chairman of the Subcommittee on Housing and Insurance, and Member of the Subcommittee on Capital Markets, Securities, and Investment.

The Proxy Advisor industry has gained enormous influence within the corporate governance and other operations of public companies. Along with this influence are business practice conflicts in how proxy advisors interact with public companies. H.R. 4015 seeks to mitigate and balance the influence of proxy advisors by subjecting them to SEC registration and oversight. This legislation aims to improve the quality of proxy advisory firms; enhance the protection of investors; and foster accountability, transparency, responsiveness and competition in the proxy advisory firm industry. Public companies have a vested interest in this issue, and proxy reform is a key element in our Revitalize blueprint.
